SEATSOCCER

Terms and conditions

1. Provider and scope

These terms apply to the hire of Subsoccer tables and expressly agreed additional services offered under the SEATSOCCER name by Vladislav Zubkov, Bergstrasse 14D, 50739 Köln, Germany, email: info@seatsoccer.de (the “Provider”). Customers may be consumers or businesses.

These terms form part of the contract only if they are made available before the contract is concluded and their application is agreed. Individually agreed terms take priority. Conflicting terms of a business customer apply only with the Provider’s express agreement.

2. Enquiries and booking

The website provides information and allows non-binding enquiries. Submitting the form, receiving an acknowledgement or discussing a date does not create a booking. The customer receives a quote specifying the services, date or rental period, number of tables, total price and any transport and service charges.

A contract is formed by acceptance of a binding offer within its acceptance period or by the Provider’s express booking confirmation following the customer’s order. Confirmation is provided in text form, for example by email. Mandatory legal formalities remain unaffected. Confirmed prices cannot subsequently be changed unilaterally.

3. Services, prices and payment

The agreed scope of services is binding. Delivery, collection, setup, dismantling and supervision are included only if expressly agreed. Continuous supervision is not included in table-only hire.

Consumers are informed of the total price, including any applicable VAT and all established additional charges, before the contract is concluded. Website prices labelled “2023” are indicative; the accepted quote governs. Advance payments or a security deposit apply only if agreed and specified before the contract is concluded. Invoices are payable within 14 days of receipt unless another payment deadline is agreed.

4. Rental period, handover and venue

The start and end of the rental period, handover and return times are specified in the quote. Setup and dismantling do not shorten an expressly agreed period of supervised play. Extensions require agreement; the rental does not renew automatically.

The customer provides the full venue address and timely information about access restrictions, stairs, transport routes and other material delivery or setup conditions. The customer arranges a suitable, level and stable location, enough space for safe movement and any required permissions. Outdoor use must be agreed in advance and requires suitable weather and protective conditions. Additional services or expenses are charged only by agreement or where permitted by law.

5. Use and care

Tables may be used only for their intended purpose and in accordance with the manufacturer’s instructions and safety information supplied. In particular, climbing or sitting on the tabletop, applying excessive force, making unauthorised modifications and using a visibly damaged table are prohibited. Safety instructions from assigned staff must be followed.

The customer ensures that users receive appropriate instructions. Minors require supervision appropriate to their age and the circumstances. Parents and other supervisors are liable only where the legal requirements for liability are met. Subletting or transferring the equipment to another event organiser requires the Provider’s prior consent in text form. This does not prevent guests at the agreed event from using the tables.

When not in use, equipment must be kept dry and protected from unauthorised access. Use must stop if conditions become unsafe, and the Provider must be notified.

6. Defects, damage and return

Visible damage or missing accessories should be recorded jointly at handover. Defects, damage or loss discovered later must be reported without undue delay. Where reasonable, the customer should allow the Provider an opportunity to remedy defects; statutory rights remain unaffected. Repairs may be carried out only with consent unless the law permits otherwise.

The equipment must be returned at the agreed time with the supplied accessories. Normal wear from agreed use is not charged. Liability for damage, loss, late return or exceptional cleaning is governed by the applicable legal requirements and the actual recoverable expense. These terms impose neither an automatic charge for the cost of a new replacement nor liability regardless of fault.

7. Cancellation, rescheduling and weather

Cancellations and requests to reschedule should be sent as early as possible in text form to info@seatsoccer.de. A change of date becomes binding only when the Provider agrees. This draft does not introduce a fixed percentage scale of cancellation charges.

If the customer cannot use the service for reasons within their own sphere, any remaining payment or compensation claims are governed by law and valid individual agreements. Saved expenses and creditable benefits from alternative rental must be taken into account. The customer may demonstrate that a claimed loss or expense did not arise or was lower than claimed.

If rain or other problematic conditions are forecast, the parties should discuss a suitable alternative as early as possible. Whether the service can be provided and how costs are allocated depend on the agreed services and applicable law. These terms impose neither a blanket exclusion of refunds for poor weather nor an automatic right to cancel free of charge. Statutory withdrawal, rescission and termination rights remain unaffected.

8. Provider liability

The Provider’s liability is unlimited for intentional or grossly negligent damage and for culpably caused injury to life, body or health. Mandatory statutory liability, particularly under product liability law, and liability under any guarantees given remain unaffected.

For other loss resulting from a slightly negligent breach of an essential contractual duty, liability is limited to foreseeable loss typical of the contract at the time it was concluded. Essential duties are those necessary for proper performance and on whose fulfilment the customer may regularly rely. Otherwise, liability for other loss caused only by slight negligence is excluded. These provisions apply correspondingly to legal representatives and persons engaged to perform the contract.

9. Consumers and withdrawal rights

These terms do not limit a statutory right of withdrawal. Consumers may have a right of withdrawal for distance contracts or contracts concluded away from business premises. Section 312g(2)(9) of the German Civil Code provides an exception for certain leisure-related services booked for a specific date or period. These terms do not automatically apply that exception to every equipment-only rental.

Whether a withdrawal right exists must be determined for the actual services offered. Where it applies, the consumer will receive separate withdrawal information and a model withdrawal form before the contract is concluded. Where required, starting services during the withdrawal period and any consequences must be agreed separately and expressly. A non-binding enquiry does not waive a withdrawal right.

10. Final provisions

German law applies. Consumers retain any mandatory protections of the law of their country of habitual residence that cannot lawfully be excluded. Cologne is not designated as a mandatory place of jurisdiction for all customers; statutory jurisdiction rules apply. A different jurisdiction agreement may be made only where the law permits it in the particular case.

If a provision is invalid, the applicable statutory rules take its place. The remaining provisions continue to apply unless the law provides otherwise.
